The Company is formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. It has not selected any specific business combination target and has not, nor has anyone on its behalf, engaged in any substantive discussions, directly or indirectly, with any business combination target with respect to an initial business combination. The Company may pursue an initial business combination with a company in any industry, sector, or geographic location. It intends to focus its search on identifying, acquiring, and potentially operating a business in the technology sector, with a focus on video gaming, interactive entertainment and enabling services and technologies, cybersecurity, artificial intelligence, machine learning, Software as a Service (SaaS) and deep tech technologies. The Company has no operations and has no revenues.
