The Company is formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which it refers to throughout this prospectus as its initial business combination. Its focus will be on targeting opportunities within the energy transition, oil and gas, and power sectors. In addition to the energy transition, it will also target opportunities in the upstream exploration and production (E&P), midstream, and oilfield services sectors.
