Aug 13 - (The Insurer) - Sapiens International Corporation, a provider of software solutions to the insurance industry, announced on Wednesday that it is being acquired by private equity investor Advent for $2.5 billion in an all-cash deal.
Sapiens shareholders will receive $43.50 per share, which represents a 64% premium to its closing price of $26.52 per share on August 8.
Upon completion of the transaction, Sapiens will become a privately held company and its common shares will no longer be publicly listed.
Sapiens said that Advent's resources will help it to deliver greater value to its existing clients and expand its global reach.
Advent will fund the transaction with committed debt and equity commitments of $1.3 billion.
The transaction is expected to close in the fourth quarter of 2025 or the first quarter of 2026.
Formula Systems (1985), which is an existing Sapiens shareholder, will continue to hold a minority stake in the company.
"Insurers are increasingly turning to technology to help unlock growth and profitability, drive innovation and improve business resilience," said Advent director Douglas Hallstrom.
"We will work with the company to accelerate investment into technology innovation, AI, and customer centricity."
