Pentair Q3 Profit Falls on Pool Destocking, 2026 EPS Outlook Reaffirmed
Pentair reported lower third-quarter sales and adjusted earnings as Pool channel inventory destocking outweighed growth in Flow and Water Solutions. Net sales fell 4.5% year over year to $976.4 million, and adjusted EPS declined 5% to $1.18. Management reaffirmed its full-year 2026 adjusted EPS forecast of approximately $4.70, incorporating the newly completed Taco Group Holdings acquisition. The Pool destocking is now complete, positioning the segment for 2027 growth. Key risks include macro uncertainties, inflation, tariff recoveries non-recurrence, and integration execution.
Pentair plc (PNR) reported lower third-quarter sales and adjusted earnings as a previously disclosed inventory reduction in its Pool channel outweighed profitable growth in Flow and Water Solutions. The company said the destocking was completed during the quarter and reaffirmed its full-year 2026 adjusted earnings forecast of approximately $4.70 per share.
Net sales for the quarter ended September 30 fell 4.5% year over year to $976.4 million, while core sales declined 5.5%. Adjusted operating income decreased 8% to $242 million, and adjusted return on sales narrowed 90 basis points to 24.8%. Adjusted diluted earnings per share fell 5% to $1.18.
On a GAAP basis, operating income was $195.9 million, compared with $231.7 million a year earlier. Net income from continuing operations declined to $145.1 million from $184.3 million, and diluted earnings per share fell to $0.91 from $1.12.
The quarter’s adjusted operating income included about $8 million of tariff refunds. Pentair also recorded approximately $34 million of gross inflation, partly offset by productivity gains. Management said adjusted operating income and adjusted EPS exceeded its expectations.
Pool destocking weighs on results
Pool sales declined 18% to $291.5 million, reflecting the completion of the channel inventory destocking. Segment income fell 38% to $71.7 million, while return on sales dropped to 24.6% from 32.8%.
Pentair attributed the margin contraction to lower-volume leverage from the inventory reduction, inflation and growth investments. The Pool segment received about $1 million of tariff refunds but faced approximately $19 million of gross inflation.
Management said the channel inventory adjustment positions Pool for robust growth in 2027, without assuming a recovery in end-market demand. The company’s Pool strategy centers on dealer coverage and retention, customer support, product quality and customer-led product development.
Flow and Water Solutions expand margins
Flow sales rose 4% to $262.5 million, including 1% core growth. Segment income increased 15% to $68.8 million, lifting return on sales by 250 basis points to 26.2%. Pentair said productivity and growth from the Hydra-Stop acquisition drove the margin improvement. Sales were modestly below the company’s expectations because of delayed spending in food and beverage, while the rest of the portfolio generated double-digit growth.
Water Solutions sales increased 1% to $421.9 million, with core sales also up about 1%. Segment income rose 16% to $120.9 million, and return on sales expanded 370 basis points to 28.7%. Productivity, tariff refunds and pricing above inflation supported the improvement. Commercial sales grew 4%, led by large strategic accounts and convenience stores, while residential sales declined 1% amid softness in residential end markets.
Taco acquisition adds new growth platform
Pentair completed its acquisition of Taco Group Holdings on October 1, after the end of the third quarter. The acquired business supplies pumps, valves and controls for water circulation and hydronic flow applications, with exposure to commercial, institutional and residential markets.
Pentair estimates Taco will generate approximately $560 million of sales and $90 million of EBITDA in 2026, up from about $455 million and $74 million, respectively, in 2025. For 2027, the company projects more than $620 million of sales and over $105 million of EBITDA. Management expects the transaction to add to adjusted EPS in 2027 and provide cross-selling opportunities across the companies’ complementary channels.
About half of Taco’s estimated 2026 sales come from commercial and industrial customers, with the remainder from residential markets. Approximately 85% are tied to aftermarket and replacement demand. Pentair said the acquisition expands its presence in data centers, schools, hospitals, universities and other commercial buildings, while extending its portfolio into water circulation and hydronic flow control.
Cash flow and 2026 outlook
Pentair generated $152.7 million of free cash flow in the third quarter and $619.9 million during the first nine months of 2026. Quarter-end debt was $1.48 billion, and net debt to EBITDA was 1.4 times. These figures exclude the Taco acquisition and approximately $1.4 billion of related borrowings completed on October 1.
For full-year 2026, Pentair continues to expect adjusted EPS of approximately $4.70, down about 4%, and adjusted operating income to decline about 6%. Total sales are projected to fall roughly 3%, with Flow sales rising by a mid-single-digit percentage, Water Solutions increasing by a high-single-digit percentage and Pool declining about 18% to 19%.
The forecast includes Taco in the fourth quarter. Pentair expects fourth-quarter sales to increase 7% to 9%, adjusted operating income to rise about 1% and adjusted EPS to be approximately $1.15, down about 3%. The company is targeting full-year free cash flow above 100% of net income and EBITDA of approximately $1.05 billion at the midpoint of its outlook.
Pentair noted that tariff recoveries are expected to provide about $43 million of benefit in 2026 but are not expected to recur in 2027. Other uncertainties identified by the company include housing and related market conditions, inflation, tariffs, currency and interest-rate volatility, demand and pricing pressures, weather, and the successful integration of Taco.
