SM Energy Exceeds Merger Synergy Target, Generates $397 Million in Q3 Free Cash Flow
SM Energy reported third-quarter 2026 adjusted free cash flow of $397 million, driven by strong operational efficiencies and merger synergies exceeding targets. The company reduced net debt to $6.01 billion, redeemed all 2027 senior notes, and returned $133 million to stockholders. Production averaged 433,100 boe/d, meeting guidance despite localized downtime and takeaway constraints. For the full year, SM Energy narrowed capital expenditures to approximately $2.75 billion while projecting production between 153 and 154 million boe. Key risks include commodity price volatility, cost inflation, and Uinta Basin takeaway limitations impacting near-term volumes.
SM Energy generated $397 million of adjusted free cash flow in the third quarter of 2026 while exceeding its merger-synergy target and reducing debt, as operating efficiencies helped the oil and gas producer keep full-year capital spending at the midpoint of its prior range despite inflationary pressure.
The company said it has actioned about $400 million of annual run-rate synergies from its merger with Civitas Resources, above its revised $375 million target and double the original $200 million goal. The full run rate is expected to be captured in 2027. SM Energy estimated the seven-year PV-10 value of those synergies at $2.0 billion, up from $1.8 billion.
For the quarter ended Sept. 30, SM Energy reported GAAP net income of $93 million, or $0.39 per diluted share. Adjusted net income was $465 million, or $1.95 per diluted share, while adjusted EBITDAX reached $1.34 billion.
Net cash provided by operating activities totaled $1.12 billion. After $747 million of capital expenditures before changes in accruals, adjusted free cash flow was $397 million.
SM Energy returned $133 million, or about 34% of quarterly adjusted free cash flow, to stockholders. That included $81 million used to repurchase 2.3 million shares and $52 million of dividends, equivalent to $0.22 per share.
Production Meets Guidance
Third-quarter production averaged 433,100 barrels of oil equivalent per day, within the company’s guidance range of 430,000 to 440,000 boe/d. Oil output averaged 230,200 barrels per day, at the lower end of its 230,000-to-240,000-barrel guidance range.
Oil volumes were affected by about 2,000 barrels per day of Permian Basin downtime related to compliance and safety work on acquired assets. SM Energy said that work has been completed. Temporary takeaway constraints in the Uinta Basin reduced oil production by about 4,000 barrels per day and are expected to continue until additional capacity becomes available in early 2027.
The Permian Basin remained the company’s largest producing region, contributing 222,700 boe/d, followed by the DJ Basin at 119,400 boe/d. South Texas produced 46,300 boe/d, while the Uinta Basin contributed 44,700 boe/d and had the portfolio’s highest oil concentration at 85%.
Companywide cash production margin was $39.83 per boe. The Uinta Basin recorded the highest margin at $49.87 per boe, although transportation costs there were also the highest among the company’s operating areas.
Operational gains supported capital efficiency across the portfolio. Companywide cycle times declined about 14% from the first quarter to 185 days in the third quarter. In the Delaware Basin, 2026 wells that had reached 180 days of production delivered 14.1 barrels of cumulative oil per lateral foot, 24% above the 2025 vintage and about 40% above 2024 wells.
In the Uinta Basin, the transition to simul-frac completions more than doubled completion efficiency, according to the presentation. SM Energy estimated savings of more than $1 million per well from its completion innovations. Completion costs per lateral foot in the basin have declined about 16% since the first quarter to roughly $400.
Debt Reduction and Portfolio Actions
Net debt stood at $6.01 billion at the end of September, down from $7.4 billion at March 31. The company redeemed all $417 million of its 2027 senior notes at par, leaving no senior-note maturities until mid-2028. It said debt actions completed since the merger have produced about $85 million of annualized interest savings.
Management continues to target a low-1x leverage ratio at mid-cycle commodity prices by year-end 2026. SM Energy also said it had substantially achieved its objective of more than $1 billion in asset sales after closing the $950 million divestiture of its South Texas Galvan assets in April. The proceeds were directed toward debt reduction.
2026 Outlook
SM Energy narrowed its full-year capital expenditure forecast to approximately $2.75 billion, the midpoint of its previous $2.65 billion-to-$2.85 billion range. The company said merger synergies and operating efficiencies are helping offset service-cost and consumables inflation.
Full-year production is expected to total 153 million to 154 million boe, or an average of 420,000 to 422,000 boe/d. Oil production is projected at 220,000 to 222,000 barrels per day. For the fourth quarter, SM Energy expects total output of 435,000 to 445,000 boe/d and oil production of 229,000 to 239,000 barrels per day, with capital spending of about $610 million.
The full-year program includes approximately 245 net wells drilled and 295 net wells turned in line. About 45% of capital is allocated to the Permian Basin, with 20% each directed to the DJ and Uinta basins and 15% to South Texas.
The outlook remains exposed to commodity prices, cost inflation and operational constraints. Uinta takeaway limitations are expected to affect fourth-quarter volumes, while the timing and full realization of merger synergies, further debt reduction and planned capital returns depend on execution and market conditions. For the fourth quarter, the company had hedged about 51% of expected oil production and 50% of expected gas production through swaps and collars.
