Clarivate Q3 2026 Margin Expands After Life Sciences Sale
Clarivate reported strong third-quarter 2026 performance, highlighted by improving recurring organic growth and expanding adjusted EBITDA margins following the $600 million sale of its Life Sciences & Healthcare business. Despite lower continuing revenue and a wider GAAP net loss due to asset impairments, adjusted diluted EPS rose. The company utilized divestiture proceeds and cash flow for debt reduction, repurchasing notes and planning further retirements. Management issued post-sale 2026 guidance, projecting steady organic growth and robust free cash flow. Key risks include macroeconomic volatility, execution of AI commercialization, and debt levels.
Clarivate (NYSE: CLVT) reported stronger recurring organic growth and wider adjusted margins for the third quarter of 2026 as it completed the $600 million sale of its Life Sciences & Healthcare business and shifted to a two-segment operating structure. The company also outlined plans to use the divestiture proceeds and fourth-quarter cash flow to reduce debt further.
Revenue from continuing operations fell to $482 million from $530 million a year earlier, primarily because of disposals, including the wind-down of the Academia & Government books business completed in the second quarter. Total organic revenue increased 0.4%, as recurring growth offset a 12.3% decline in transactional revenue.
Organic annual contract value growth was 1.8%, up 30 basis points year over year, while recurring organic revenue growth reached 1.3%, an improvement of 110 basis points. The retention rate was 93.7%.
Adjusted EBITDA from continuing operations declined to $218.2 million from $222.2 million, but the adjusted EBITDA margin expanded 340 basis points to 45.3%, reflecting cost management and the disposal of lower-margin businesses. Including discontinued operations, adjusted EBITDA was $245.3 million on revenue of $568 million, producing a 43.2% margin.
Clarivate recorded a GAAP net loss of $80.8 million, or $0.13 per diluted share, compared with a loss of $28.3 million, or $0.04 per share, a year earlier. The latest quarter included $62.2 million of goodwill and intangible-asset impairments and a $10.1 million loss related to classification as held for sale. Adjusted diluted earnings per share rose to $0.21 from $0.18.
Recurring businesses support organic growth
Academia & Government delivered about 2% organic growth in both ACV and subscription revenue. Clarivate said France’s Agency for Higher Education, Abes, selected the company to modernize the country’s national academic library system.
Web of Science Research Intelligence, released in May 2026, had signed more than 100 institutional customers across 25 countries within six months. Clarivate reported an active 2026-2027 sales pipeline of approximately $20 million for the platform.
In Intellectual Property, recurring organic revenue grew nearly 1%, while ACV returned to positive growth. The U.S. Patent and Trademark Office selected Clarivate’s AI technology to support image searches across the U.S. trademark register.
Clarivate is also preparing an early-adopter launch of IPOne, its agentic AI intelligence layer for intellectual-property workflows, in November 2026. The product had more than 40 development and early-access partners, including over 15 Fortune Global 500 companies, and an active 2026-2027 pipeline of about $20 million. Five purpose-built AI agents are due for early-adopter release in the fourth quarter, with general availability expected in the first quarter of 2027.
Across its platform, Clarivate had more than 80 AI agents, assistants and capabilities in market. AI application programming interface calls reached more than 465 million through September, approximately 2.5 times the level in the comparable prior-year period.
Cash flow falls as debt reduction continues
Third-quarter operating cash flow decreased to $165.6 million from $181.1 million, while free cash flow declined to $110.2 million from $115.5 million. The company attributed the decrease primarily to higher taxes and working-capital effects, including the timing of collections and disbursements and higher incentive-compensation payments. Lower capital spending partly offset those pressures.
Clarivate repurchased $75 million in face value of 2028 notes during the quarter at an approximately 2% discount. Year-to-date debt reduction totaled $293 million.
The Life Sciences & Healthcare sale closed in October. Clarivate plans to use the net proceeds and fourth-quarter free cash flow to retire an additional approximately $575 million to $600 million of notes due in 2028 and 2029.
2026 guidance reflects post-sale structure
Following the divestiture, Clarivate provided 2026 guidance based on continuing operations, with Life Sciences & Healthcare classified as discontinued operations. The company expects revenue of $1.965 billion to $1.985 billion and adjusted EBITDA of $865 million to $885 million, implying an adjusted EBITDA margin of 43% to 45%.
Management expects organic ACV growth of 1.75% to 2.25% and recurring organic revenue growth of 1% to 1.5%. Adjusted diluted EPS is projected at $0.73 to $0.77, while free cash flow is expected to range from $320 million to $340 million. The free-cash-flow measure includes nine months of Life Sciences & Healthcare results and reflects the timing of the sale closing and higher one-time costs associated with completing the transaction and achieving cost savings.
Clarivate also offered an initial 2027 perspective because the divestiture closed earlier than anticipated. The company expects free cash flow of approximately $350 million to $400 million and net leverage of about 3.5 to 3.6 times, compared with an estimated roughly 4 times for 2026.
The outlook remains subject to the execution of Clarivate’s cost and growth initiatives, customer retention, research budgets and government funding, foreign-exchange movements and global macroeconomic conditions. The company also identified competition, technological change, its ability to commercialize AI, cybersecurity risks, international exposure and its level of indebtedness as material uncertainties.
