Emergent BioSolutions Cuts 2026 Outlook After Q3 Revenue Decline
Emergent BioSolutions lowered its full-year 2026 revenue forecast to $600 million to $645 million and adjusted EBITDA to $110 million to $140 million, driven by delayed medical countermeasure deliveries. Third-quarter revenue fell to $110 million, resulting in a net loss of $32.7 million. Despite weaker profitability and higher leverage, operating cash flow rose to $122 million, enabling debt reduction and bond repurchases. Key risks include reliance on government funding, contract timing, and regulatory compliance.
Emergent BioSolutions (NYSE: EBS) lowered its full-year 2026 revenue and adjusted EBITDA forecasts after third-quarter sales fell sharply from a year earlier, reflecting the timing of medical countermeasure deliveries. The company reported $110.0 million in quarterly revenue, within its prior guidance range but down from $231.1 million in the third quarter of 2025.
Emergent now expects 2026 revenue of $600 million to $645 million, compared with its August forecast of $645 million to $675 million. The company cited the expected timing of U.S. government and international medical countermeasure sales and projected a 20% to 25% year-over-year decline in commercial revenue.
The adjusted EBITDA outlook was revised to $110 million to $140 million from $130 million to $150 million. Emergent also forecasts an adjusted net result ranging from a $10 million loss to $20 million of income, compared with its previous range of $10 million to $30 million of income. Its GAAP net-loss forecast is now $225 million to $255 million, including an approximately $191 million non-cash impairment charge recorded in the second quarter.
Despite the lower revenue and earnings forecasts, the company increased its expected adjusted gross margin range to 45% to 47% from 42% to 44%.
Quarterly profitability weakens
Emergent posted a third-quarter net loss of $32.7 million, compared with net income of $51.2 million a year earlier. The adjusted net loss was $18.7 million, or $0.36 per diluted share, versus adjusted net income of $65.2 million, or $1.15 per diluted share, in the prior-year period.
Adjusted EBITDA was negative $4.6 million, representing a negative 4% margin, compared with $92.6 million and a 40% margin in the third quarter of 2025. Adjusted gross margin narrowed to 28% from 62%, while GAAP gross margin fell to 14% from 54%.
Research and development and selling, general and administrative expenses totaled $56 million, up from $52 million a year earlier. The latest quarter included $8 million of restructuring costs. R&D spending declined to $9 million from $13 million, while SG&A rose to $47 million from $39 million.
For the first nine months of 2026, revenue declined to $500.4 million from $594.2 million. Adjusted EBITDA was $127.5 million, or 25% of revenue, compared with $204.8 million and a 34% margin a year earlier. Emergent recorded a year-to-date GAAP net loss of $206.1 million, largely reflecting the impairment charge, while adjusted net income was $24.1 million.
Medical countermeasures drive government activity
Medical countermeasure revenue totaled $59 million in the third quarter. Emergent said it received an approximately $24 million U.S. government contract modification for CYFENDUS and delivered shipments ahead of schedule. It also completed most planned TEMBEXA tablet and suspension deliveries.
Through the third quarter, the company had received more than 10 contract awards and product orders, supplied medical countermeasures to 13 countries and completed all six U.S. government contract modifications. International sales and product orders generated $72 million, accounting for 22% of year-to-date medical countermeasure revenue.
In naloxone, Emergent said over-the-counter NARCAN Nasal Spray remained a standard-of-care option, supported by U.S. public-interest distribution channels. The company also secured a standing offer from the Government of Canada, creating a multiyear pathway for NARCAN Nasal Spray. Planned growth initiatives include six- and 24-count multipacks and a NARCAN carrying case.
Emergent is also restarting its Canton manufacturing facility and said the project remained on schedule. Its research priorities include Ebanga, TEMBEXA, raxibacumab and a pan-Ebola monoclonal-antibody therapeutic program. The company is engaging with more than five artificial intelligence and machine-learning businesses on potential pipeline and development efforts, while exploring partnerships focused on bioterrorism preparedness.
Cash flow supports debt reduction
Operating cash flow reached $122 million during the first nine months, up from $93 million in the comparable 2025 period. Emergent ended September with $175.7 million in cash and $226 million of total liquidity.
Total debt declined to $514.3 million from $693.1 million a year earlier, while net debt fell to $338.6 million from $447.6 million. The net leverage ratio nevertheless increased to 2.4 times from 1.9 times because trailing-12-month adjusted EBITDA was lower.
During the quarter, Emergent used $68 million of cash to repurchase $75 million of unsecured bond principal at a discount. The company also repurchased 2 million shares for $18.1 million during the first nine months and had $37.3 million remaining under its share-repurchase authorization.
Management said capital-allocation priorities include international medical countermeasure expansion, internal R&D—including an approximately $50 million Ebanga milestone investment—and selected business-development opportunities.
The outlook remains exposed to the availability and timing of government funding and procurement, contract performance, competition in naloxone products, regulatory and manufacturing compliance, restructuring execution and the company’s ability to meet debt covenants and maintain sufficient operating cash flow. Emergent also cautioned that the timing and specifications of government deliveries could cause actual results to differ from its forecasts.
