ICU Medical (Nasdaq: ICUI) reported Q2 2026 revenue of $551.7 million, up 1% from $548.9 million, while GAAP diluted EPS fell to $0.76 from $1.43. Organic revenue rose 6% after excluding the IV Solutions divestiture and foreign currency effects, and adjusted diluted EPS increased to $2.37 as Infusion Systems led growth and quarterly free cash flow improved to $61.7 million.

Core financial results

Reported revenue changed little because the prior-year quarter included revenue from the IV Solutions business before its May 1, 2025 divestiture. Excluding divested-business revenue, contract manufacturing revenue and currency effects, non-GAAP organic revenue increased 6% to $545.1 million.

Profit measures diverged because Q2 2025 included a $41.8 million gain on the sale of a business. GAAP net income declined despite higher gross profit and operating income, while adjusted EPS and adjusted EBITDA both increased.

Business and product-line performance

Infusion Systems was the main growth contributor, followed by Consumables. Vital Care remained lower on a reported basis because of the IV Solutions divestiture, but it also declined 4% organically after removing divestiture, contract manufacturing and currency effects.

Product lineQ2 2026 revenueQ2 2025 revenueGAAP growthOrganic growth
Consumables$289.3 million$273.1 million+6%+5%
Infusion Systems$189.0 million$167.7 million+13%+12%
Vital Care$73.4 million$108.0 million-32%-4%

CEO Vivek Jain said Infusion Systems performed ahead of the company’s expectations, while the remainder of the business was generally in line with expectations. The product-line results support that distinction: Infusion Systems generated the fastest reported and organic growth, while Vital Care remained a drag even after adjusting for the divestiture.

Profitability, cash flow and the balance sheet

GAAP gross margin increased to 43% from 38%. The quarter included $18.9 million of tariff refunds, which ICU Medical excluded from its non-GAAP results. After company-defined adjustments, adjusted gross margin was 41%, compared with 40% a year earlier, indicating that the margin improvement was smaller after removing special items.

Total operating expenses declined slightly to $195.9 million from $197.5 million. Selling, general and administrative expense fell to $151.9 million, partly offset by restructuring, strategic transaction and integration expense rising to $21.3 million from $16.2 million. Operating income consequently increased to $39.1 million from $10.6 million.

Quarterly operating cash flow rose to $80.2 million from $11.2 million, while free cash flow improved to $61.7 million from negative $8.5 million. For the first six months of 2026, operating cash flow was $119.1 million and free cash flow was $89.3 million, versus $62.5 million and $28.3 million, respectively, in the prior-year period.

ICU Medical ended June with $298.3 million in cash and $1.23 billion of GAAP debt, including the current portion. The company repaid $54.7 million of debt principal during the first half. Non-GAAP net debt was $941.5 million, and the reported net leverage ratio was 2.28 times trailing-12-month adjusted EBITDA.

Prior-year disposal gain masks stronger underlying earnings

The quarter’s central accounting contrast was the decline in GAAP EPS alongside growth in adjusted earnings. Q2 2025 benefited from a $41.8 million gain on the IV Solutions sale, whereas no comparable gain was recorded this quarter. That difference outweighed the improvement in gross profit, operating income and interest expense, causing GAAP net income to fall 46%.

Adjusted results remove the prior-year disposal gain as well as current-period items such as tariff refunds, restructuring costs and remediation charges. On that basis, adjusted EPS rose 13% and adjusted EBITDA increased 10%. The adjusted figures therefore point to improving continuing operating performance, while the GAAP comparison remains heavily affected by transaction-related items in both periods.

Fiscal 2026 guidance

ICU Medical raised each of the fiscal 2026 earnings measures disclosed in the release. The largest revisions were to GAAP net income and GAAP diluted EPS, while the adjusted EBITDA and adjusted EPS ranges also moved higher.

MetricUpdated FY2026 guidancePrevious guidanceChange
GAAP net income$73 million-$83 million$26 million-$44 millionRaised
GAAP diluted EPS$2.89-$3.29$1.03-$1.74Raised
Adjusted EBITDA$415 million-$435 million$400 million-$430 millionRaised
Adjusted diluted EPS$8.60-$9.00$7.75-$8.45Raised

The guidance reconciliation includes $25 million of expected quality and regulatory initiative and remediation costs, as well as the exclusion of $19 million of tariff refunds from adjusted results.

Recent insider transactions

The supplied six-month aggregate reported 395,121 shares in purchase-category transactions across 18 entries and 6,994 shares sold across three entries, for net purchases of 388,127 shares. Individual details for those purchase-category transactions were not supplied, so the aggregate does not establish how much represented open-market buying rather than other transaction types.

The detailed data identified three sales and one derivative-security exercise or conversion in May 2026. These disclosures do not by themselves indicate insiders’ views of the company’s prospects.

Risks for investors to monitor

  • Vital Care weakness: Reported revenue fell 32% because of the IV Solutions divestiture, but the product line was still down 4% organically. Continued weakness could offset growth from Infusion Systems and Consumables.
  • Special-item volatility: The quarter included $18.9 million of tariff refunds, $21.3 million of restructuring and related costs, and $5.9 million of quality-system and product-remediation charges. These items create substantial differences between GAAP and adjusted results.
  • Quality and regulatory costs: Fiscal 2026 guidance incorporates $25 million for quality and regulatory initiatives and remediation. The company also identified risks associated with the timing and resolution of its 2025 warning letter.
  • Debt and interest burden: Net debt was $941.5 million and net interest expense was $15.7 million for the quarter. Although interest expense declined from $20.5 million, leverage and debt service remain relevant to cash allocation.

Summary

ICU Medical’s Q2 2026 results showed stronger underlying growth than the 1% reported revenue increase suggested, led by Infusion Systems and accompanied by better operating and free cash flow. GAAP EPS declined because the prior-year period included a large disposal gain, while adjusted EPS and EBITDA increased and fiscal 2026 guidance was raised. The main follow-up areas are Vital Care’s organic decline, margins excluding tariff refunds, quality and regulatory spending, and progress in reducing leverage.
